1. About Bookaroo®

Bookaroo® is an online ticketing facilitation platform operated by FlowIQ (Pty) Ltd, registration number 2025/503612/07, a South African private company.

Bookaroo provides technology that enables event organisers to list Events and offer Tickets, Products and Add-ons to customers. Bookaroo does not organise, host, manage, or control Events and does not manufacture, prepare, store, handle, deliver or supply Products or Add-ons offered by organisers.

By accessing or using Bookaroo, you agree to be bound by these Terms. If you do not agree, you may not access or use the Service. Your continued use of the Service following any changes to these Terms constitutes your acceptance of the updated Terms.

These Terms apply to customers who browse Events or place Orders through Bookaroo. They do not replace the separate terms and agreements that apply to organisers and their authorised users.

2. Key Roles and Responsibilities

Bookaroo provides the booking, ticket-delivery and payment-integration platform through which Organisers offer Tickets, Products and Add-ons to Customers.

The Organiser identified at checkout and in your Order confirmation is the seller, supplier and merchant of record for every Ticket, Product and Add-on in your Order. The Organiser is responsible for the Event, fulfilment of your Order, customer service, and its cancellation, exchange and refund decisions, subject to applicable law.

Customers are people who browse Events or place an Order through Bookaroo.

When you place an Order, your contract for the Tickets, Products and Add-ons is with the Organiser. Bookaroo is not a party to that contract of sale. Bookaroo does not set the descriptions, prices, stock, capacity, fulfilment terms, promotion rules or organiser charges displayed for an Order.

3. Definitions

In these Terms, unless the context indicates otherwise:

• “Bookaroo”, “we”, “us”, or “our” means the Bookaroo ticketing facilitation platform operated by FlowIQ (Pty) Ltd.
• “FlowIQ” means FlowIQ (Pty) Ltd, registration number 2025/503612/07.
• “Service” means the Bookaroo website, platform, software, tools, ticketing functionality, communications, and related services made available by FlowIQ.
• “you” or “your” means any person or entity accessing or using the customer-facing Service or placing an Order.
• “Customer” means a person who accesses Bookaroo or places an Order through Bookaroo.
• “Organiser” means any person, business, school, organisation, venue, or other entity that lists, promotes or manages an Event and offers Tickets, Products or Add-ons through Bookaroo.
• “Event” means an event, session or booking slot listed on Bookaroo by an Organiser.
• “Ticket” means the electronic entitlement to attend or participate in an Event.
• “Product” means goods offered for sale by an Organiser through Bookaroo, including merchandise, food and beverages.
• “Add-on” means an optional item or service offered by an Organiser for purchase with a Ticket or Product.
• “Order” means a purchase of one or more Tickets, Products or Add-ons through Bookaroo.
• “Payment Provider” means Paystack or another supported third-party payment service provider identified during the payment process.
• “Platform Fee” means any service, facilitation, or platform fee charged by Bookaroo in accordance with the applicable Organiser agreement, commercial terms, or published fee arrangement.

4. Payment Processing

Payments are processed by the applicable Payment Provider. Payment card and bank account details are captured and processed by the Payment Provider and not by Bookaroo.

The Organiser remains the merchant of record whichever Payment Provider is used. Settlement is made by the Payment Provider directly to the Organiser in accordance with that provider’s processing and settlement arrangements.

The Organiser decides whether a cancellation, exchange, Order change or refund is available under its policy and applicable law. Bookaroo does not adjudicate that decision. Where Paystack is used, the Organiser refunds Customers directly. Where the Organiser uses a supported alternative Payment Provider, Bookaroo may process a refund through the Platform only after receiving an authorised instruction from the Organiser. Bookaroo does not fund refunds.

If an Event is cancelled, postponed, relocated or materially changed, or if an Organiser cannot fulfil a Product or Add-on, the Organiser is responsible for communicating with affected Customers and arranging any applicable refund, exchange or alternative. Nothing in these Terms removes any right you may have under applicable South African law.

If you dispute a transaction with your bank or Payment Provider, you should also notify the Organiser so that it can provide the relevant Order and fulfilment information.

5. Tickets, Entry and Event Attendance

Tickets purchased through Bookaroo are delivered electronically and may be provided by email, on-screen confirmation, QR code, or any other electronic method made available through the Service.

You are responsible for ensuring that the contact information provided during checkout is accurate and that you are able to access your ticket before attending the event. Bookaroo is not responsible for failed delivery or non-receipt of tickets where incorrect contact details are provided or where delivery is affected by factors outside Bookaroo’s reasonable control.

Each ticket is issued for the specific event, date, time, ticket type and quantity shown at the time of purchase. Unless expressly permitted by the organiser, tickets may not be exchanged, transferred, resold, duplicated, altered, or used for any unlawful or unauthorised purpose.

Ticket holders may be required to present a valid ticket, QR code, booking reference, proof of purchase, or other verification requested by the organiser or venue. Each ticket or QR code may only be scanned and used once. Once a ticket has been scanned or redeemed, it may not be reused.

You are responsible for keeping your ticket secure after delivery. Bookaroo is not responsible if a ticket, QR code or booking confirmation is copied, shared, forwarded, lost, stolen, misused, or redeemed by another person after it has been delivered to you.

Entry to an event is controlled by the organiser and/or venue, not Bookaroo. Admission may be subject to the organiser’s event rules, venue rules, age restrictions, seating rules, health and safety requirements, security checks, accessibility arrangements, or any other lawful conditions communicated by the organiser or venue.

The organiser or venue may refuse entry or remove a person from an event where reasonably necessary for safety, security, fraud prevention, capacity management, non-compliance with event or venue rules, unlawful conduct, abusive behaviour, intoxication, or any other lawful reason. Bookaroo is not responsible for any refusal of entry or removal from an event by the organiser or venue.

Bookaroo does not organise, host, manage, control, or supervise events. The organiser remains responsible for event delivery, venue access, seating arrangements, crowd control, entry management, and all event-day operational decisions.

6. Products, Add-ons and Fulfilment

Products and Add-ons are sold and supplied by the Organiser identified at checkout. The Organiser is responsible for their descriptions, prices, stock, availability, safety, quality, suitability, preparation and fulfilment. Bookaroo provides the Platform through which they are ordered and paid for.

Before placing your Order, review the Product or Add-on description, quantity, selected Event date, fulfilment method, collection or use instructions, and any preparation cutoff shown at checkout. Depending on the item, the Organiser may prepare it for collection, provide it at the Event, or require you to present your Order confirmation when using or redeeming it.

A preparation or change cutoff explains when an operational change may no longer be possible after preparation has started. It does not remove any right you may have under applicable law. Questions about ingredients, allergens, labelling, suitability, collection or fulfilment must be directed to the Organiser using the contact details in the Event listing or Order confirmation.

If an Organiser cannot supply an item because capacity or stock is unavailable, the Organiser is responsible for resolving the failure with you. The allocation of responsibilities in these Terms does not affect any right you may have against Bookaroo or the Organiser under applicable law.

7. Discount Codes

An Organiser determines the value, conditions, validity period and number of uses of each Discount Code it offers. Bookaroo applies a valid Discount Code at checkout in accordance with the rules configured by the Organiser. Discount Codes have no cash value, cannot be exchanged for money and may not be sold or transferred unless the Organiser expressly allows it.

8. Prohibited Practices and Conduct

Bookaroo prohibits misleading or deceptive conduct regarding events or transactions, aggressive or coercive sales tactics, unauthorised fees or hidden costs, and failure to disclose material terms before purchase. Event and Order information, pricing and organiser charges must be transparent and clearly disclosed.

You agree not to:

• Access the Service unlawfully or for illegal purposes
• Impersonate any person or entity
• Harass, threaten, abuse, or defame any user
• Upload viruses or malware
• Engage in spam, phishing, or fraud
• Attempt to circumvent security measures
• Resell tickets in violation of organiser terms or law
• Violate intellectual property rights
• Violate any applicable law or third-party rights

Users are responsible for maintaining the confidentiality of their account credentials and for all activities under their account. You must notify Bookaroo immediately of any unauthorised access or suspected security breaches. Bookaroo may suspend or terminate your account if you breach these Terms, engage in prohibited conduct, pose a safety or legal risk, or fail to comply with applicable laws.

9. Intellectual Property

FlowIQ owns all intellectual property rights in the Bookaroo platform, website, mobile application, name, logo, branding, underlying technology, code, algorithms, features, and all original content created by FlowIQ. All intellectual property is protected by South African and international copyright, trademark, and design laws.

Organiser names, logos, Event descriptions, Product content, images and promotional material remain the property of the Organiser or its licensors. They are displayed through Bookaroo for the purpose of listing the Organiser’s Events and Products.

By purchasing a ticket, you receive a limited, non-transferable licence to access and attend the event. This licence is personal to you, may not be sold or transferred without organiser consent, expires upon event completion, and grants you no intellectual property rights in the event or its content.

You may not reproduce, modify, or create derivative works from any Bookaroo content; reverse engineer or decompile any part of the Service; use the Service for competing commercial purposes; or remove any copyright or intellectual property notices.

10. Data Protection and Privacy

Personal information is processed in accordance with the Protection of Personal Information Act 4 of 2013 (POPIA) and other applicable data-protection law. A full Privacy Policy is available at https://bookaroo.co.za/privacy.

For information collected to place and fulfil an Order, the Organiser is the responsible party and Bookaroo processes the information as its operator. FlowIQ is the responsible party when it processes information for Bookaroo’s own purposes, including Platform security, support requests, cookie preferences and consented analytics on public Bookaroo pages. The Privacy Policy explains these roles and the applicable processing purposes in more detail.

Order information is made available to the Organiser for Event and Order fulfilment and may be processed by the applicable Payment Provider, hosting and infrastructure providers, transactional email and messaging providers, and other service providers used to operate the Platform. Information is disclosed to authorities where required by law.

To exercise rights concerning Order, attendee, fulfilment or organiser-configured checkout information, contact the Organiser identified in the Event listing or Order confirmation. 11. Electronic Transactions

Bookaroo complies with the Electronic Communications and Transactions Act, 25 of 2002, ECTA. By using the Service, you consent to receiving electronic communications, including confirmations, receipts, and notices, instead of paper documents, to electronic formation of legally binding transactions, and to the Service’s technical requirements for secure electronic transactions.

When you complete a transaction, you receive an electronic confirmation containing the relevant Event, Ticket, Product, Add-on, fulfilment, amount and Organiser information for your Order. You should retain the confirmation for your records and have it available when attending the Event, collecting a Product or using an Add-on.

The Service is made available from South Africa. Bookaroo makes no representation that the Service is accessible or appropriate outside South Africa. If you access the Service from outside South Africa, you do so at your own risk and are responsible for compliance with local laws.

12. Service Availability

Bookaroo takes reasonable technical and operational measures to keep the Platform available, restore it after an interruption, protect it against unauthorised access, and enforce the capacity, stock and availability configured by the Organiser. Bookaroo does not promise uninterrupted or error-free availability and is not responsible for the availability of a third-party service on which the Platform depends.

Bookaroo does not guarantee uninterrupted or error-free Service availability. We may perform maintenance, updates, or improvements that temporarily affect availability. Bookaroo does not guarantee that security or bot-mitigation measures will prevent every unauthorised access attempt, automated purchase, resale or misuse.

Bookaroo may contain links to third-party websites and services. FlowIQ does not control or endorse third-party content, is not liable for third-party websites or transactions, and recommends you review third-party privacy policies and terms before engaging with them.

13. Limitation of Liability

To the fullest extent permitted by law, FlowIQ is not liable for indirect or consequential loss arising from use of the Service or from an Organiser's Event, Ticket, Product, Add-on, fulfilment or customer-service decision. Bookaroo remains responsible for its own obligations under these Terms and nothing in these Terms limits or excludes liability for fraud, death or personal injury caused by negligence, gross negligence, or any liability that may not lawfully be limited or excluded. Nothing in this clause affects a statutory right you may have against Bookaroo or the Organiser.

14. Indemnification

You agree to indemnify, defend, and hold harmless FlowIQ and its officers, directors, employees, agents, and successors from any claims, damages, losses, costs, or expenses, including reasonable legal fees, arising from your breach of these Terms; your violation of any applicable law; your misuse of the Service or any user’s intellectual property rights; content you provide or upload; or any claim that your content infringes third-party rights.

FlowIQ indemnifies you against third-party claims that the Bookaroo platform infringes a third-party’s intellectual property rights, provided you notify FlowIQ promptly, cooperate in defence, and allow FlowIQ to control the defence. This indemnity does not apply to claims arising from your modification of the platform or use with non-Bookaroo products.

15. Amendments and Termination

FlowIQ may amend these Terms at any time. We will provide notice of material amendments by posting updated Terms on the Bookaroo website, sending email notification to your registered email address, or providing prominent in-app notification.

16. General Provisions

Severability

If any provision is found invalid, illegal, or unenforceable by a court, that provision is severed and the remaining Terms continue in full force. The invalid provision will be reformed to the minimum extent necessary to make it enforceable while preserving original intent.

Waiver

No waiver of any provision or breach is effective unless in writing and signed by an authorised representative of FlowIQ. Failure to enforce any right does not constitute a waiver of that right. A waiver of one breach does not constitute a waiver of any other or subsequent breach.

Entire Agreement

These Terms, together with the Privacy Policy and Refund Policy, govern your use of the Bookaroo Service. The Organiser’s Event-specific participation, fulfilment, cancellation, exchange and refund terms govern the Organiser’s supply of the Event, Tickets, Products and Add-ons, subject to applicable law. Nothing in these Terms varies the separate agreement between Bookaroo and an Organiser.

Notices

FlowIQ may provide notices to you by email, in-app notification or posting on the Bookaroo website. Notices to FlowIQ must be sent to: FlowIQ (Pty) Ltd, Legal Department, Century Boulevard, Century City, Cape Town, legal@bookaroo.co.za. Notices are effective upon delivery or receipt.

Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of South Africa without regard to conflict-of-laws principles. Both parties submit to the exclusive jurisdiction of the courts of South Africa, specifically the Western Cape Division of the High Court, Cape Town, or such other court as may have jurisdiction. You irrevocably consent to this jurisdiction and waive any objection to venue. For disputes unresolved through the escalation process, either party may initiate legal proceedings in the appropriate court. Small claims under R15,000 may be brought in Small Claims Court.

Accessibility and Language

Bookaroo is committed to ensuring the Service is accessible to all users, including those with disabilities. We comply with applicable accessibility standards and welcome feedback on accessibility issues. Contact support@bookaroo.co.za if you encounter accessibility barriers. These Terms are provided in English. If the Service is provided in other languages, the English version prevails in the event of any discrepancy.

Headings and Construction

Section headings are for convenience only and do not affect interpretation. These Terms govern the Bookaroo Service and Bookaroo’s obligations to Customers. The Organiser’s terms govern Event delivery, Product and Add-on fulfilment, and its cancellation, exchange and refund decisions, subject to applicable law.
